Litigation
We assist corporations and private clients in complex civil and commercial litigations and arbitrations. We also have an extensive experience in restructuring litigation.
Our approach to litigation is practical and results oriented. We help our clients in understanding the risks and opportunities of the litigation. We carefully define the litigation strategy together with our clients, identifying the most appropriate solutions to succeed in, or to avoid, a litigation in the full awareness of its timing and cost.
We mainly focus on corporate and commercial disputes - particularly in the context of extraordinary and M&A transactions - restructuring and insolvency, directors’ liability, unfair competition, intellectual propriety and successions.
Tax
We focus on tax advice and planning for corporations, private equity firms and financial institutions in the context of:
- extraordinary transactions (including acquisitions, mergers, demergers, contributions in kind, transfers of businesses and going concerns, joint ventures, restructurings, start-up, issuing of financial instruments, IPO, venture capital investments, extraordinary finance and project financing);
- the structuring of compensation packages for directors, executives and key people (including stock option plans, incentive and benefit plans and pension funds);
- the setting of transfer pricing policies;
- the handling of direct and indirect taxes and accounting matters;
- of structuring of real-estate transactions.
We assist both individuals and corporations on tax structures, generational transitions and tax monitoring.
We help our clients in the relationship with tax Authorities in respect of:
- tax audits, pre-litigation and settlement agreements;
- tax litigation in front of Tax Courts and the Corte di Cassazione (Supreme Court).
Restructuring and Insolvency
We assist distressed companies, investors and creditors in relation to debt restructuring, turnaround matters, debtor in possession financing and insolvency procedures, offering our clients professional and goal-oriented advice in order to safeguard and increase value.
We support our clients in distress with respect to crisis diagnosis, turnaround strategy, choice and implementation of the most suitable restructuring tool (either out-of-court or in-court), coordination and negotiations with the actors of the restructuring field (creditors, financial or industrial partners, courts and other public authorities, insolvency practitioners), financial restructuring and management of the litigation.
We have garnered extensive experience in advising investment and restructuring funds and other investors in distressed scenarios and special situations, supporting them in seizing investment and/or financing opportunities, also through the implementation of loan-to-own strategies.
